General Terms & Conditions

 

1. Member subscriptions fees are quoted exclusive of VAT and are payable annually in advance. For the avoidance of doubt, any reference to “Member” herein refers to members, associate members, founding members and any other form of member that may be admitted from time to time.

2. Applications for Membership of Decom Mission will be subject to approval by the Board of Directors or other such Membership group as the Board approves. Decom Mission reserves the right to refuse Membership to any applicant and is not obliged to disclose the reasons for refusal.

3. Decom Mission reserves the right to modify or alter the Membership fees and benefit structure at any time. The receipt of a completed Membership application form does not constitute a formal offer or contract of Membership, until such application is approved by the Board of Directors.

4. Organisation size is based upon the number of employees. Where an organisation is a wholly owned subsidiary or part of a group of companies, the organisation size is taken as the total employee numbers for the group. The category of sole trader is available only to those organisations recognised legally as a sole trader.

5. Where a Member changes category by nature of size during any annual Membership period, that Member will be required to change its Membership status only at the beginning of the next annual Membership period.

6. Decom Mission reserves the right to refuse renewal of Membership at any time to a Member who:

  • fails to pay by the required time any fees due, either for annual subscription or for any event, publication or other service provided by Decom Mission; and/or
  • misrepresents Decom Mission, brings Decom Mission into disrepute or acts in any manner deemed inappropriate by the Decom Mission Board of Directors.

7. Joining Decom Mission as a Member does not imply endorsement of any kind by Decom Mission. Members may not at any time use Decom Mission Membership in promotional activities or to endorse any activity or product without prior written consent.

8. By joining Decom Mission as a Member, the Member agrees to grant a guarantee to pay the sum of £1 in respect of any outstanding obligations of Decom Mission on the winding up or dissolution of Decom Mission, such sum to be due and payable on winding up or dissolution.

9. As Decom Mission is based on consensus from all Members, Decom Mission does not guarantee to represent the individual interests of any company or organisation at any time.

10. The Members’ benefits as set out in the application form are indicative only and Decom Mission does not guarantee to provide all benefits at all times and reserves the right to change the benefit structure from time to time as decided by the Board of Directors.

11. Members will be invoiced annually for Membership of Decom Mission. If a Member does not wish to renew their subscription for the relevant year then they will be required to advise Decom Mission of this in writing within 30 days of the annual subscription invoice being due for payment, failing which they will be obliged to pay the annual subscription fee in accordance with Condition.

12. Payment of the annual subscription fee must be received within 30 days of the invoice being sent to the Member. If payment is not received within this timescale the full annual subscription will still be due but all Member benefits will be terminated until payment is made in full. If payment is subsequently made, then there will be no extension of Member benefits to cover the period during which Member benefits were terminated.

13. Members will also be subject to the terms of the articles of association of Decom Mission as registered with Companies House and amended from time to time. For the avoidance of doubt where there is any conflict between these terms and conditions and the provisions of the articles of association, the articles of association will take precedence.

14. Decom Mission will process members’ personal data in line with the Member Privacy Notice which is available on the Decom Mission website.

Nothing in this website disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in this website disclaimer will exclude or limit Decom North Sea’s liability in respect of any:

  • death or personal injury caused by Decom North Sea’s negligence;
  • fraud or fraudulent misrepresentation on the part of Decom North Sea or
  • matter which it would be illegal or unlawful for Decom North Sea to exclude or limit, or to attempt or purport to exclude or limit, its liability.

Reasonableness
By using this website, you agree that the exclusions and limitations of liability set out in this website disclaimer are reasonable.

If you do not think they are reasonable, you must not use this website.

Other parties
You agree that the limitations of warranties and liability set out in this website disclaimer will protect Decom North Sea’s officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as Decom North Sea.

Unenforceable provisions
If any provision of this website disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of this website disclaimer.

Events Terms & Conditions

 

1. In these terms and conditions, the “Company” means Decom Mission and the “Client” (which expressions shall include any principal on whose behalf the Client delegate booking is made) means the person, firm, company or organisation placing the order. Persons agreeing to the delegate booking shall be deemed to have authority to do so on whose behalf they are acting or purporting to act.

2. Orders placed with the Company shall constitute a contract when the Client either signs the order, confirms their acceptance by email or books directly through our on-line facilities. By placing an order, the Client agrees to be listed on event’s delegate list.

3. To receive a reduced delegate ticket rate, you must be a Decom Mission member at the date of booking and on the date of the event and have already paid your membership in full prior to the event start date. If your membership has not been paid in full you must pay the full non-member rate. If a student ticket is available, you must use your university/college email address for booking and provide a proof of student ID. If a Strategic Partner ticket is available, you must be on our SPs list.

4. Payment is required upon confirmation of order and payment must be made immediately. Payment must be made either by credit or debit card on the Company’s event booking website. Payment by bank transfer is subject to approval by the Company.

5. Typically, bookings may be made up until the day before the event (subject to availability) however bookings made within two days of the event may not be included on the delegate list.

6. The booking is strictly for the person named on the registration form. Should you be unable to attend the event, please notify us as soon as possible. Each event will have cancellation policy stated on the booking page however generally, our cancellation policy is as follows: Please send cancellation request to the event organiser by email events@decommission.net. Please inform the event organiser if you wish to send a replacement delegate. If you notify the organisers of your cancellation a month or longer prior to the event, we will provide a full refund. If you notify the organisers of your cancellation less than a month prior to the event the full cost will be payable and only delegate substitution will be allowed. Where you have booked a place and do not attend without notifying the organisers of your cancellation the full fee will be payable. Should a different person attend the event to that named on the delegate booking form, without prior agreement with the Company, then the Company will treat this as an additional delegate and will invoice accordingly. To avoid this, please adhere to the Company’s cancellation policy.

7. The Company reserves the right to vary, postpone or cancel an event if necessary and where possible will take all steps necessary to inform the Client with reasonable notice. Where the Company is required to cancel or reschedule the event, the Company will honour the booking for the rescheduled date or, where the event will not be rescheduled issue a full refund.

8. Force Majeure – The Company is relieved of all its obligations if any act is outside the Company’s control which means the Company is unable to hold the Event such as: acts of god, pandemic, severe weather, danger of war, fire or severe disturbances affecting the organisation, venue or its suppliers.

9. The Company endeavours to cater for all delegates, however should a delegate have any special needs or requirements the delegate should contact the Company with details of their requirements no later than two weeks prior to the event.

10. The Company reserves the right to refuse admission and to remove persons from the premises/virtual platform for any reason wherever necessary.
The Company also reserves the right to conduct security searches to ensure the safety of persons at the event. In the interests of public safety, the Company reserves the right to request the Client to leave the venue at any time for safety reasons or immediately after the event. No admission or readmission is permitted after the end of the event.

11. Save for where the Company’s prior written consent has been obtained, the use of photographic equipment is not allowed. All other recording and any transmission is prohibited including, without limitation, recording of any data, information or results of or relating to the event and any participant. As a condition of entry to the event you assign the copyright in any photographs or recordings you make at the event to the Company.

12. By agreeing to present at a Decom Mission event, speakers confirm that:

  • They are authorised to represent their organisation and to present the content of their presentation
  • The contents of their presentation material, whether written, visual or verbal, will not contain any confidential information not approved for publication by the owner
  • Any reference to third parties within the contents of their presentation material, whether written, visual or verbal, has been agreed to by these third parties
  • Any material taken from other sources will be properly acknowledged in writing in the presentation material
  • Speakers also agree that the presentation material and/or a recording of the presentation, can be shared with attendees and Decom Mission Member Companies anytime after the event.

Views expressed by the speakers are their own and the Company accepts no liability for any loss, injury or damage, howsoever caused, to the bearer except where the loss, injury or damage is caused by the negligence of the Company, its employees or its agents.

13. Events may be live streamed, recorded and photographed by the Company or notes taken of discussions during the event may be made by the Company.

14. No unauthorised trading is permitted at any time within the event venue, whether physical or virtual venue.
15. Travel and accommodation arrangements are booked at your own risk. Company will not be liable for any costs lost due to cancellation/postponement of event.

16. Decom Mission will process members’ personal data in line with the Member Privacy Notice and non-members’ data in line with the Non-Member Privacy Policy. Both are available on the Decom Mission website.

17. If for any reason these terms and conditions are unenforceable in part, the validity of the remaining provisions shall not be affected.
